The Company Secretary’s Role and Accountabilities

This course will provide a concise outline to the role and responsibilities of the company secretary.


This course will examine:

  • The role of the company secretary under the Companies Act including the manner of appointment and removal and the required qualifications and qualities;
  • The role of the company secretary in ensuring good corporate governance;
  • Company secretarial procedures – duties in relation to meetings;
  • Minute taking – the purpose of minutes and legal requirements, note-taking strategy, personal preparation, effective note-taking, transforming notes into minutes;
  • The liability of the company secretary under the Companies Act and VAT Act.

Company secretaries, directors, compliance officers, lawyers, corporate service providers, trustees and fiduciaries.

Assessment Questions and Answers:

In line with MFSA requirements, a short multiple-choice assessment will be provided by the trainer towards the end of the session. A Certificate of Attendance will be awarded to all students who attend the CPD (duration will be included on certificate). A Certificate of Achievement will be awarded to those who sit for the assessment and are successful (pass mark 60%)


Matthew Muscat, LL.B, LL.D, LL.M, MPhil, PhD

Matthew is a lawyer by profession. He has degrees in law and criminology from the University of Malta, the University of London, Boston University and the University of Cambridge. Significantly he is possession of an LL.D from the University of Malta, an LL.M in Corporate and Commercial Law from the University of London, an MCJ from Boston University, a M. Phil in Criminological Research from the University of Cambridge and a PhD in Criminology from the University of Cambridge. Prior to travelling to the U.K. to continue his studies, Matthew worked with one of Malta’s most prestigious law firms and interned at the MFSA’s Enforcement Unit for an 8-month period in 2014.

Currently, Matthew works with as a Senior Associate within the commercial and corporate law department at MamoTCV Advocates.
